CONSULTING SERVICES AGREEMENT BETWEEN:

                                          THE STAFFING AGENT.
                             (hereinafter referred to as the Company)

                                                        AND

CONSULTING INC. (hereinafter referred to as the “Independent Contractor”)

                                                        AND

Mr. YOU NAME (hereinafter referred to as the “Indemnifier”)

The purpose of this Agreement is to set forth the terms and conditions under which The Independent Contractor will work from time to time for the Company as a Computer Consultant on Client sites, as agreed to from time to time. The initial Client for the purpose of this Agreement shall be (NAME TO MANUFACTURERS).

GENERAL TERMS AND CONDITIONS

The initial work will involve Computer Consulting duties at the Client’s premises: MANUFACTURERS SITE

The Independent Contractor will provide the services of YOUR NAME for the purposes of fulfilling its obligations under this Agreement.

The Supervisor with respect to the initial Client shall be RANDOM PERSONS NAME.

YOUR NAME will be required to wear an COMPANY provided uniform, swipe in and out using COMPANYS time-clock system, and comply with all security measures established by COMPANY. Start time is 7:30 AM; end time is 04.00 PM. YOUR NAME is allowed 30 minutes for lunch, one 12-minute break and one 10-minute break during the working day.

The rate of pay with respect to the initial Client shall be TBD per hour. Payment to be made (the first payment, 5 working days after the receipt of 2 weeks of signed time sheets and hence every two weeks after) upon receipt from the Client, signed time sheets. The Company will provide time sheets to be authorized by a supervisor and submitted to the Company along with an invoice.

The start date shall be TBD pending further possible extensions.

This Agreement can be terminated at any time by either party with 10(ten) business days written notice without just cause; notice to be delivered to David Rauch, The Aspira Group at 280 Glenforest Rd., Toronto, On M4N 2A4.

The Independent Contractor acknowledges that it shall be responsible for the payment of Income Tax, employee and employer portions of CPP and UIC if applicable, GST Tax collection and payment, Workers Compensations, EHT, Ontario Hospitalization coverage, vacation pay and statutory holiday pay or any other payments imposed by any Federal, Provincial or local authority with respect to all employees, officers and directors of the Independent Contractor, and to indemnify and save harmless the Company from any claims made against the Company with respect to the foregoing. If a competent governmental authority should assert that the Company is responsible for making any source deductions, then the Company shall be entitled to start making any source deductions from amount then payable by the Company to the Independent Contractor hereunder. Further, if a competent governmental authority asserts that the Company is retroactively responsible for any of such deductions or other payments that should have been made but were not made, the Company shall be entitled to make such payments retroactively and to deduct an equal amount to such payments together with any costs and expenses (including reasonable legal fees and costs on a solicitor and client scale incurred by the Company related to such assertions or deductions from any amounts then payable to the Company to the Independent Contractor hereunder. To the extent that such amounts are not recoverable by the Company by way of set-offs as aforesaid, the Independent Contractor will promptly indemnify the Company by way of set-offs as aforesaid, the Independent Contractor will promptly indemnify the Company for such amounts within fourteen (14) days after it receives a written demand for the same from the Company.

The Independent Contractor and the Indemnifier agrees not to perform any remunerative work for or on behalf of the Client until a period of 12 months has elapsed from the date of termination of this Agreement without the prior written consent of the Company

DISCLAIMER:

There is a cool down period for 12 months where you cannot perform any work for the employer and they can ask for their money back under a cool down clause.

They also request by email additional terms of agreement to any and all client site policies but never provide them. They also claim you agree by email outside the terms of contract to flat rate overtime and weekend work and no notice clauses like no 24/48 hour notice of early morning/afternoon 14 hour or holiday work. Some other terms not in contract.

It almost gives them any and every excuse for a unfair and unethical work environment.

The contract also claims subcontractor but the client site treats you as a employee. I would consider it misrepresentation of contract clause. Subcontract but not, but not a employee or a subcontractor, but a subcontractor, no ESA rights or competition rights.
